International Service Export Agreement

This International Service Export Agreement ("Agreement") is a binding contract concluded electronically between YAZICI ETİCARET YAZILIM LİMİTED ŞİRKETİ and the Customer, in accordance with the principles of the Constitution of the Republic of Turkey, the Turkish Code of Obligations (No. 6098), E-Commerce Law (No. 6563), Consumer Protection Law (No. 6502), KVKK, EU GDPR, and international trade law.

Subject and Scope

This Agreement governs the sale, licensing, delivery, and support of software development, SaaS, web design, domain, hosting, server, reseller, and related digital infrastructure services exported from Turkey by YAZICISOFT. Policy documents on the website (Privacy, KVKK, Cookies, Refund & Delivery) form an integral part of this Agreement.

Formation of the Agreement

The Customer enters into this Agreement electronically by checking the consent boxes confirming they have read and accepted the legal documents during registration. Service-specific terms take effect upon order confirmation. Electronic consent is deemed equivalent to a written signature under Turkish E-Commerce Law.

Export Compliance Obligations

  • YAZICISOFT provides services in compliance with Turkish commercial law and applicable export/import restrictions.
  • The Customer must comply with the laws of the country where services are used.
  • Services may not be provided in countries or sectors subject to sanctions, embargoes, or licensing requirements.
  • Tax, customs, and local registration obligations in the destination country are the Customer's responsibility.

Fees, Invoicing, and Payment

Service fees are determined from the price list or quotation at the time of order. Payment is made via card, bank transfer, or approved channels. VAT, reverse charge, and export exemptions apply per applicable law. Late payment may result in service suspension; default interest follows the Turkish Code of Obligations.

Delivery and Performance

Digital services are delivered electronically (portal, email, DNS/account activation). Standard activation is within 0–48 hours. Custom projects follow the project contract timeline. Force majeure extends deadlines; parties shall notify each other promptly.

Intellectual Property and License

All rights in YAZICISOFT software, branding, design, and infrastructure are reserved. The Customer receives only the usage license defined in the contract. Reverse engineering, unauthorized copying, and resale (except under reseller agreements) are prohibited.

Personal Data and Cross-Border Transfers

Parties process personal data under KVKK and GDPR. Cross-border transfers follow KVKK Art. 9 and GDPR Arts. 44–49 with appropriate safeguards (SCCs, adequacy decisions, etc.). Data subject requests may be sent to info@yazicisoft.com.

Confidentiality, Security, and Customer Duties

  • The Customer is responsible for keeping account credentials confidential.
  • Hosting unlawful content, spam, attacks, or infrastructure abuse is prohibited.
  • The Customer must provide accurate and up-to-date information.
  • YAZICISOFT may suspend services in case of security breaches or legal violations.

Withdrawal, Cancellation, and Refunds

Consumer Customers are subject to Turkish Consumer Protection Law and the Distance Contracts Regulation. Withdrawal exceptions for digital services are set out in the Refund & Delivery Policy. Corporate cancellations and refunds follow package or project contract terms.

Limitation of Liability

YAZICISOFT is not liable, to the extent permitted by law, for force majeure, third-party infrastructure failures, or Customer configuration errors. Claims for indirect damages and loss of profit are limited unless otherwise agreed in writing. Mandatory consumer protection rules are reserved.

Term, Termination, and Force Majeure

Subscription services renew periodically; termination notice may be given until the end of the billing period. Material breach allows termination. Force majeure (natural disaster, war, epidemic, official intervention, etc.) suspends performance.

Governing Law and Jurisdiction

This Agreement is governed by Turkish law. Istanbul (Central) courts have jurisdiction for commercial matters. Consumer disputes are subject to consumer arbitration committees and consumer courts. Mandatory local consumer rules for EU and other countries are reserved.

Entry into Force

This Agreement enters into force when the Customer checks the consent boxes on the registration form. The current version is published at yazicisoft.com/legal/export-agreement. Material changes may be notified via registered email.
